Job summary
An exciting opportunity has arisen for a Head of Corporate Governance. The Head of Corporate Governance is a key leadership role within AGH Solutions Ltd, a wholly owned subsidiary of Airedale NHS Foundation Trust.
This is a great opportunity for the right candidate to provide crucial corporate governance support to a forward-looking wholly owned subsidiary that directly supports the NHS frontline.

Main duties of the job
The post holder will work closely with and provide advice to the AGH Solutions Ltd Board on matters of corporate governance, such as interpreting procedures and rules within the AGH Solutions Ltd legal and regulatory framework and ensure that professional, effective and efficient administrative support is provided to the Board and Board Committees.
The post holder will lead and ensure comprehensive mechanisms are in place to manage and measure the corporate governance of AGH Solutions Ltd, with a view to achieving best practice and continued improvement against national standards.
Other duties will include ensuring relevant national regulations and policies are implemented supported by written procedures and policies. Regularly liaising with the Trust's Corporate Affairs function, stakeholders and with external advisors.

- Qualified or working towards (Chartered Governance Institute) or equivalent qualification.
- Masters level qualification or relevant experience
- Evidence of personal professional development

- Considerable experience of working in a Secretarial or Governance team in the private sector for Ltd company.
- Experience of working in a regulated sector.
- Experience of working at Board level in a large complex organisation.
- Experience providing governance and company secretarial support for routine corporate transactions, such as capital reductions and share allotments as well as providing board and committee support to multiple meetings in parallel.
- Experience of providing high-quality customer-focused corporate governance support to Boards and/or Committees
- monitoring conflicts of interests.
- Delivering improved ways of working.
- Prior experience of acting as the Secretary to a Board / Committee.
- Maintaining quality & corporate standards during times of change.
- Providing advice on governance matters that has positively impacted on an organisation's effectiveness.
