Gloucestershire Health and Care NHS Foundation Trust seeks a highly experienced, confident, and forward-thinking corporate governance professional to join our senior leadership team as Director of Corporate Governance.

Main duties of the job

This is a high-profile position reporting directly to the Chief Executive. You will be the architect responsible for strengthening and shaping our entire corporate governance framework while playing a broader role too.

You will provide strategic leadership for our approach to communications and speaking up as well as overseeing crucial corporate compliance functions.

We have a skilled and dedicated workforce of over 5000 colleagues working in a diverse range of services over 55 sites and within people's homes.   • 81% said that care of patients and service users is the Trust's priority, compared with an average in comparable NHS Trusts in England of 64%.

This high-level overview shows we are in a healthy position, with higher scores than average for comparable organisations, alongside a great response rate, indicating good staff engagement. However, we also know we have plenty of room for improvement in many areas. To that end, we continue to prioritise and invest in our commitment to genuinely becoming a Great Place to Work with consistent top-quartile performance in the annual staff survey and Pulse surveys.

Qualifications

Essential

  • Educated to a master's degree or First degree plus equivalent relevant experience (see below)
  • Member of the Institute of Chartered Secretaries and Administrators or Significant experience in a Corporate Governance role within a large business environment with evidence of sustained professional development including specialist courses

Desirable

  • Master's degree in relevant subject or professional qualification

Experience

Essential

  • Demonstrated experience in a post leading corporate governance at a senior level, either within the NHS, public sector or major private sector organisation
  • Substantial experience of management and leadership at a senior level in the NHS or similar complex organisation
  • Well-developed political awareness, influencing, negotiation and conflict resolution skills to effectively navigate multiple, and potentially contentious, stakeholder views.
  • Experience of working constructively with internal and external stakeholders to create the conditions for successful partnerships
  • Experience of handling difficult and sensitive situations effectively and confidentially
  • Strong evidence of experience in handling complex arrangements to a high degree of accuracy, timeliness and effectiveness, including managing multiple deadlines
  • Proven experience in writing papers for senior level internal and external audiences
  • Proven record of working at all levels within complex organisations

Desirable

  • Previous relevant experience in a Board/Company Secretary role
  • Previous relevant experience in managing a communications function

  • Understanding of corporate governance, health and safety and related legislation and best practice
  • Understanding the roles and relationships between Council of Governors and Board of Directors
  • Knowledge of Corporate Governance in a large and complex organisations
  • Understanding of the Health and Social Care Act and the concept of a Licencing regime
  • Proven excellence in oral and written communication and influencing skills
  • Ability to explain complex matters to non-experts e.g. implications of legislation and financial matters
  • Proven ability to work with a high level of autonomy over responsibility and decision-making, and make sound, properly informed judgments
  • Proven track record in delivering to high standards against agreed targets
  • A calm, logical approach with an ability to work and deliver under pressure
