Job summary

We are seeking a talented and ambitious governance professional to support the delivery of a comprehensive board/corporate governance service to our NHS Foundation Trust.

As Deputy Company Secretary, you will support the Company Secretary in providing a full range of effective corporate governance and administration services to the Chair, the Chief Executive, the Board of Directors and the Council of Governors.

You will support the Company Secretary in ensuring that the Trust is compliant with all relevant legislation, constitutional and regulatory requirements; and will provide effective Board and Committee administration.

You will provide professional support to a dynamic team of Executive Director Assistants and be expected to deputise for the Company Secretary as required.

You will promote and strive for excellence within the Secretariat Team and will need the highest standards of IT, communication, and organisational skills.

Main duties of the job

The deputy company secretary is a key post providing an essential link between board members; board committee members; the council of governors; Trust members; the wider health community and the day-to-day operational management of the Trust.

Working with the company secretary, the deputy company secretary will ensure that the Trust complies with all relevant legal, constitutional and regulatory requirements of the corporate body, the NHS Foundation Trust. On behalf of the company secretary, the deputy company secretary will administer the board assurance framework working closely with executive directors.

The deputy company secretary will deputise for the company secretary across all aspects of their work as required. They will represent them and their office in a wide range of duties across all stakeholders including the Trust chair; directors; governors and members.

The deputy company secretary will work closely with the business manager to the chief executive officer.

  • Chartered company secretary or willing to work towards achieving this
  • Experience working with boards, committees and/or high-level meetings in a large complex organisation.
  • Experience of managing all aspects of meetings - including managing compliance with terms of reference; agenda cycles; minutes and follow up actions and understanding of key governance documents
  • Experience of people management; training and developing staff
