Job summary

The post holder is a key member of the Corporate Governance Team. Working closely with the Director of Integrated Governance and Head of Corporate Governance they will lead key pieces of work to help plan and manage the implementation of a well-functioning, modern and future focussed governance framework, to ensure systems, processes, practices and procedures are in place to enable the organisation to ensure compliance with the highest standards of governance.

The post holder will work closely with the Head of Corporate Governance to provide advice and guidance on all aspects of corporate governance to organisation-wide leadership. This will include planning, organising meetings, and providing comprehensive and high-quality support to a number of committees.

The post holder is the main point of contact for Member queries, leading on recruitment processes and co-ordinating induction and development activities. They will also manage the Membership Group.

The post holder will also play a key role in the co-ordination of corporate governance policies and procedures, taking responsibility for the management and maintenance of all registers and corporate policies database.The post holder will deputise as appropriate for the Head of Corporate Governance

Main duties of the job

  1. Ensure the provision of a consistent professional service across the organisation, underpinned by sound knowledge and the principles of corporate governance and ensuring that Sirona is compliant with all aspects of governance standards and associated reporting requirements.
  2. Ensure Sirona complies with governance procedures, statutory responsibilities and constitutional matters in respect of the Governance Framework and Articles, providing advice where necessary, in conjunction with the Head of Corporate Governance. This will include advice and support to Members and Directors regarding the discharge of their duties, conduct of meeting and recommended protocols.
    1. With the Head of Corporate Governance, work pro-actively to develop and promote new ways of working, in ensuring that Sirona has a robust framework for compliance with corporate governance standards and recommended good practice.
    2. Working collaboratively within the team and with operational and corporate colleagues as well as senior leaders to provide expertise and specialist advice and support on the wider aspects of governance.

    Meeting Management

    1. To ensure effective systems for developing and managing the forward planning of each committee to support the achievement of Sirona's strategic objectives and business plans.

Policies Management

  1. Ensure that appropriate policies for corporate governance are in place and that there is a mechanism to monitor the review of corporate strategies, policies and procedures so that they remain valid.
  2. Be responsible for managing the oversight of corporate policies within the organisation. To maintain a rolling programme of internal review of corporate documents, capturing all policies that are overdue a full review/partial review and the development of new documents and ensure the archiving of obsolete and superseded documents and reporting to Audit and Assurance Committee as required.

Leadership

  1. Work autonomously, recognising the need for effective and agile decision making balanced with the need to escalate issues as appropriate
  2. Line management (where appropriate) and supporting the development of skills and abilities of the team, focused on objectives which deliver the highest standards of performance and care.
  3. Take on project leadership across Sirona as required, particularly projects within the governance function, supporting peers when they are on annual leave and attending meetings on behalf of the Head of Corporate Governance as appropriate.

Communications

  1. Maintain frequent contact with key players, managing relationships by creating a win/win culture and seeking mutual benefit for all individuals involved
  2. Manage conflicts and delivery of contentious issues in relation to areas such as Policies development, Corporate Governance Framework etc where co-operation on development is required. This communication is completed in an appropriate manner whilst adhering to Sironas values and behaviours
  3. Work in a strong and effective corporate manner with key stakeholders and recognise key influencers, and have the skills in engaging and involving them
  4. Support engagement activities with other services and teams to promote good corporate governance across the organisation. Ability to question information and explanations supplied by others, who may be experts in their field and to analyse complex data and to summarise, condense and present this in a way that is clear, concise and easily understood by a varied audience.

Handling sensitive information appropriately and in line with Sirona policies and procedures
