We are seeking a dynamic and proactive Company Secretary to coordinate our governance framework and deliver our secretariat function. Acting as the trusted interface between the Board of Trustees and Executive Team, you will ensure the smooth flow of information
Main duties of the job
Chair, CEO and Board Support and Engagement:
* Collaborate closely with the Board of Trustees and the Executive Team to drive MHM's vision and purpose through ongoing review, refinement, modernisation, and the strengthening of governance frameworks.
* Provide Executive Assistance and secretarial support to the Chair of the Board of Trustees and CEO, delivering effective management of MHM related schedule and associated commitments, including management and oversight of all practical and logistical requirements.
* Co-ordinate and arrange the schedule of meetings between the Chair and CEO and if deemed appropriate, attend to capture key points of discussion and agreed actions.
* Build credible and trusted relationships with Trustees, the Executive team and stakeholders.
* Provide proactive support to Board members in order to ensure they have all appropriate knowledge, information, and resources to execute their roles effectively.
Governance and Compliance:
* Maintain and monitor MHM's register of trustees, executive directors and people with significant control, including details of professional background, subject matter expertise and any conflict-of-interest declarations, reporting any risks with the Chair and CEO and managing any associated actions
* Lodge annual returns, event driven filing, serious incident reporting and other statutory submissions as required by Companies House and the Charity Commission ensuring quality and compliance of information.

* Chartered Governance Institute Qualification or Training, or equivalent foundation in governance principles
* Experience in a Company Secretarial role, ideally within the VCSE (Voluntary, Community and Social Enterprise) sector

* Maintain and monitor the register of trustees, executive directors, and persons with significant control
* Ensure compliance with statutory requirements and governance processes
* Prepare and distribute meeting packs and high-quality minutes
* Lead on trustee induction, training, and development programmes
